- Commercial engagement prior to and during subscription
- First-party marketing communications issued by The Group
Where a separate written agreement exists (including subscription agreements or integration contracts), that agreement shall prevail in the event of conflict.
3. Acceptance of Terms
By accessing the website, submitting onboarding information, creating an account, or using the Services, you confirm that you have read, understood, and agreed to these Terms.
If you act on behalf of a business, you confirm that you have authority to bind that organisation.
4. Services Overview
The Group provides:

- APIs and system integrations
- Automation and orchestration services
- Reporting, dashboards, and operational intelligence tools
Services are provided remotely and hosted on EU-based cloud infrastructure.
The Group does not own or control third-party systems you choose to connect to the Services and is not responsible for their availability, performance, or configuration.
5. Onboarding Information & Accuracy
During onboarding you may be required to provide:
- Company and contact information
- System credentials or API keys
- Configuration and integration settings
- Logos or branding assets
You confirm that:
- All information provided is accurate and lawful
- You have authority to supply any credentials or assets submitted
- You remain responsible for configuration decisions
The Group is not liable for errors, failures, or data issues caused by incorrect or incomplete onboarding information.
6. Client Responsibilities
You agree to:
- Maintain secure access credentials
- Ensure connected systems are correctly licensed and authorised
- Comply with applicable laws and regulations
- Ensure data supplied does not infringe third-party rights
- Validate outputs generated by automations before operational reliance
You remain responsible for business decisions taken using the Services.
7. Intellectual Property
All intellectual property rights in the Services, including software, APIs, connectors, documentation, dashboards, branding, and design elements, remain the property of SyncPro Group Limited.
You are granted a non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes during the term of use.
You may not reverse engineer, resell, sublicense, white-label, or expose the Services to unauthorised third parties without prior written consent.
8. Marketing & Communications (First-Party Use Only)
By using the website or onboarding pages, you acknowledge that The Group may use your business contact details for its own marketing and operational communications, including:
- Service and platform updates
- Product announcements and feature releases
- Security notices and system communications
- Industry insights relevant to your use of the Services
- The Group does not sell or share your data with third parties for marketing
- No third-party advertising networks are used
- Communications are issued solely by The Group for its own business purposes
- You may opt out of non-essential marketing at any time via unsubscribe links or by emailing opt-out@syncpro.co.uk
Service-critical and transactional communications will continue where necessary.
9. Data Protection & Privacy
Each party acts as an independent Data Controller unless otherwise agreed in writing.
Where The Group processes personal data on your behalf:
- Processing is limited strictly to provision of the Services
- Data is hosted and processed on EU-based infrastructure
- Appropriate technical and organisational security measures are applied

10. Availability & Service Levels
The Group endeavours to maintain reliable availability but does not guarantee uninterrupted access.
Availability may be affected by maintenance, upgrades, third-party platform outages, or client-side failures.
Service levels are provided on a reasonable-endeavours basis unless expressly agreed otherwise.
11. Fees & Payment
Where Services are chargeable:
- Fees are payable in advance under agreed subscription terms
- Payments are processed via approved third-party providers
- Non-payment may result in suspension of access
Suspension does not remove liability for outstanding fees.
12. Suspension & Termination
The Group may suspend or terminate access where:
- These Terms are breached
- Fees remain unpaid
- There is a security, compliance, or legal risk
- Continued use could cause harm to systems or third parties
You may cease use at any time, subject to contractual notice periods and outstanding charges.
13. Limitation of Liability
To the maximum extent permitted by law:
- The Group is not liable for indirect or consequential losses
- The Group is not liable for loss of profits, revenue, data, or business interruption
- Aggregate liability is limited to fees paid in the preceding twelve (12) months
Nothing excludes liability for fraud or death or personal injury caused by negligence.
14. Confidentiality
Each party agrees to keep confidential all non-public information obtained through use of the Services, including credentials, system configurations, documentation, and commercial terms. This obligation survives termination.
15. Changes to These Terms
The Group may update these Terms periodically. Material changes will be notified via the website or onboarding portals. Continued use constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
